Terms of service

1. Minimum Order Value
For first-time customers of TWW-Wholesale, the minimum initial order value is $250. The value may be distributed across product lines. Subsequent order minimums are $250.

Wholesale Accounts may only offer “pre-order” for goods if the account has received an order confirmation (invoice), paid for their order, and the goods are in transit to the account’s shipping address (shipping confirmation has been received).

2. Placing Orders
Orders may be placed via website (www.tww-wholesale.com) or by emailing a Purchase Order to orders@tww-wholesale.com.  We are not able to accept orders in formats such as Excel spreadsheets, format free lists in an email body etc.

For most items, a minimum quantity of 2 must be ordered. Items with packing units are sold by the pack lot, with the price reflecting the total value of the enclosed items.

We reserve the right to refuse orders and we may, in our sole discretion, limit or cancel quantities ordered due to the current state of supply.

3. Accuracy of Billing and Account Information.
When placing an order, the wholesale account agrees to supply current, complete, and accurate business information. The wholesale account agrees to update account and business information including payment information when necessary. Orders unable to be processed due to incorrect payment information will be cancelled.
 
4. Changes to Orders
We endeavor to process wholesale orders as quickly as possible.  Once an order is placed via our website and paid for, we are unable to make any changes to it.  We are unable to change, cancel, or add to orders once processed and shipped. The fee for combining orders is $7.50 per order. 
 
5. Wholesale Pricing
All prices are listed in U.S. dollars.  Prices are subject to change without notice.
 
Products or goods purchased from TWW Wholesale shall only be regularly sold at or above the Minimum Advertised Price (MAP). In the event the Wholesale Account chooses to place the products or goods for sale at a temporary discount, the Wholesale Account shall not discount the products more than 10% below the account’s advertised price or listed MAP (whichever is higher).

If the Wholesale Account would like to discount at a higher percentage, prior approval by TWW Wholesale must be obtained.  Sale pricing may only be applied to goods held in stock by the Wholesale Account.
 
TWW Wholesale does not permit the use of permanent discounting via introductory, first-time-buyer or newsletter sign-up discount codes as well as affiliate codes and all goods of brands represented by TWW Wholesale must be excluded from these discount codes. TWW Wholesale will reserve the right to no longer serve the wholesale account should the above policy be violated.

6. Products & Services
We have made every effort to display products as accurately as possible.  We cannot guarantee that your computer monitor's display of an item will be accurate.

We reserve the right, but are not obligated, to limit the sales of our products or services to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis.

We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time and without notice.

We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.

We strongly discourage the sale of copycats of the brands we represent and reserve the right to discontinue providing you with a given brand if you do.
 
7. Returns
No returns of wholesale orders will be accepted. Only damaged or defective goods may be returned with prior approval.
 
8. Damages / Missing items
Please inspect all shipments immediately upon arrival. Contact Customer Services at info@tww-wholesale.com within 3 business days of receipt to report any damaged, defective, missing, or incorrect items; the shipping courier should be notified of damages received in shipment immediately. Damaged or defective items may be returned and will be replaced with new merchandise. Items will only be accepted within 15 days of the order receipt.
 
9. Replacement & Spare Parts
TWW Wholesale will provide replacement for missing parts or parts damaged-in-transit. The replacement parts will always be sent to the wholesale account’s business. We do not ship parts to consumers directly.  Spare parts (“damaged-during play”) may be available for purchase.
 
10. Payments
All orders require pre-payment at the time the order is placed via tww-wholesale.com.   
 
11. Availability / Backorders / Special Orders
Back-orders and or pre-orders may be available at the discretion of TWW Wholesale. Orders will be filled based on availability.
 
Special orders may be placed for items offered by our manufacturers that are not normally stocked in the US by TWW Wholesale. Once placed they may not be cancelled. Depending on the size/value of the order a 50% non-refundable deposit may be required.  The special-order minimum quantity is 2 items.
 
12. Shipping
Shipping charges will be included at checkout.  All orders ship from our warehouses in New England, generally via UPS Ground.  We do not drop-ship.  We may make alternate shipping arrangements by request and at our discretion.  Please allow at least 10 days from the time of your order for receipt of shipment. Larger orders may require more time; please contact us for information about availability.

13, Third-Party Portals
Items sold by TWW Wholesale may not be sold through Amazon, eBay, Etsy, Facebook, Instagram or similar social media groups, or any other third-party shopping portal (defined as any site not owned by the reseller) without prior written permission.

14. Sale of Goods
To assure compliance with applicable United States toy safety standards and the manufacturer’s intent, goods purchased from TWW Wholesale must be sold in their original form/packaging with product labelling intact and present, and may not be broken up, bundled, or otherwise repackaged for resale except if and then only to the extent that such a restriction is prohibited by law.

15. International Orders
TWW Wholesale does not accept international (outside of the USA) orders. Our Retail Partners are not allowed to ship our brands outside of the United States.

16. Indemnification
You agree to indemnify, defend and hold harmless TWW Wholesale and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
 
17. Severability
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these
Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

18. Termination
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

19. Entire Agreement
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

20. Governing Law
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Massachusetts in the United States.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website.

It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
